Purchaser Agreement

Scavenger Armory, LLC is referred to in this Purchaser Agreement ("Agreement") as "Scavenger 6 " and the person or entity purchasing goods or services (collectively referred to as "Goods") from Scavenger 6 is referred to as "Purchaser." Purchaser acknowledges that this Agreement, along with any attachment, price list, schedule, quotation, acknowledgment, or invoice from Scavenger 6 relevant to the sale of the Goods (each, an "Attachment"), and all documents incorporated by specific reference into this Agreement or any Attachment, constitute the complete and exclusive statement of the terms of the agreement governing all sales of Goods by Scavenger 6 to Purchaser (the "Agreement"), regardless of whether or not Purchaser or Scavenger 6 expressly make reference to this Agreement in any documentation related to any such sale. Purchaser's acceptance of the Goods will manifest Purchaser's assent to the terms of the Agreement ("Terms") without variance or addition. Scavenger 6 hereby objects to and rejects any terms in Purchaser's purchase order or other Purchaser documents that are different than or in addition to these Terms, and any such terms in Purchaser's purchase order or other Purchaser documents shall not constitute any part of the agreement between Purchaser and Scavenger 6, unless otherwise agreed to in writing by Scavenger 6.

1.Prices.

Except when a fixed price is quoted by Scavenger 6, the price of Goods are subject to change without notice and the prices invoiced to Purchaser will be those in effect at the time of shipment and/or delivery of Goods.

2.Orders.

All orders placed by Purchaser are subject to acceptance by Scavenger 6.Scavenger 6 reserves the right, in its sole discretion, to refuse any Purchaser order. Firearm orders cannot be processed until Scavenger 6 receives the (1) Federal Firearms Dealer (FFL) Transfer Information, and (2) Purchaser's method of payment.

3.Terms of Payment.

Purchaser must provide method of payment information and authorize and make full payment for the Goods prior to the order being processed.

4.Shipping Methods:

All firearms are shipped via UPS or USPS Ground at Scavenger 6 discretion. Purchaser is responsible for the payment of shipping costs which will be added into the full amount due and paid at time of ordering.

5.Firearm Shipping Restrictions:

All firearms must be sent to a Federal Firearms Dealer (FFL). If the FFL the Purchaser is looking for is not listed on Scavenger 6 website, it is Purchaser's responsibility to have the dealer fax or e-mail the FFL information to Scavenger 6.

6.Inspect before Accepting the Transfer:

When Purchaser picks up the firearm at the selected FFL, Purchaser should inspect the Goods thoroughly and confirm the accuracy of the order, and that there are no defects. If there are any problems with the purchase, Purchaser should Not Accept the Transfer. Scavenger 6 willprovide for the return shipment of "not accepted" firearms at its own expense and will provide Purchaser with his choice of a replacement or full refund. • Once Purchaser accepts transfer of a firearm, the firearm is considered used and must be returned directly to the manufacturer for warranty repair or replacement. Any Firearm that Purchaser hasaccepted is NON-RETURNABLE and NON-REFUNDABLE. • In the case that Purchaser is declined in their ATF Form 4473, the Purchaser is responsible for the shipping fee of returning the firearm and a 10% restocking fee will be assessed.

All firearms must be sent to a Federal Firearms Dealer (FFL). If the FFL the Purchaser is looking for is not listed on Scavenger 6 website, it is Purchaser's responsibility to have the dealer fax or e-mail the FFL information to Scavenger 6.

7.State Compliance:

Purchaser responsible for verifying that the firearm they order is legal in their state.In the case that a firearm has been shipped to a state where the firearm is not legal, Purchaser will be charged for the return shipping fee, and a 10% restocking fee.

8.Cancelled Orders:

Once Purchaser has placed an order, they will be charged a 10% Restocking Fee/Change Order Fee for any changes or cancellation of the order. If Purchaser decides to cancel the order or substitute products the order will be cancelled and Purchaser will need to place a new order. By placing an order online or making a phone order with an associate you agree to pay this 10% (Cancellation/Restocking Fee/Change order fee) should you cancel or change your order.

9.Insurance:

Insurance for firearms is not included in the price of the Good(s) purchased. Purchaser has the option to add insurance to their orders during the checkout. If Purchaser chooses not to add insurance, Scavenger is not responsible for any lost/damaged shipping items.

10.Limited Warranty with Respect to Goods:

Scavenger 6 warrants that if any firearm sold by Scavenger 6 becomes defective within one year of the date of purchase by Purchaser, Scavenger 6 will replace the firearm at no charge, subject to the conditions set forth below. This warranty extends to any and all parts of the firearm as originally sold by Scavenger 6, but does not extend to any firearm that is altered or rebuilt after original purchase, damaged through abuse, misuse or lack of proper care and maintenance, or used other than for its legal intended purposes. This warranty applies only to firearms that are not regulated by The National Firearms Act of 1934, its amendments and rulings. This warranty does not cover any other type of merchandise. SCAVENGER 6 MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.Purchaser's sole and exclusive remedy for any breach of Scavenger 6 warranties is described in this Section 10. In the event of a valid warranty claim, Scavenger 6 will replace the firearm without charge, subject to the terms of Scavenger 6 Limited Warranty, in accordance with the following procedures:
a.In order to be eligible for warranty coverage, within 30 days from date of purchase the original purchaser must complete the warranty registration online at [scavenger6.com]. If Purchaser submits a claim under Scavenger 6 Limited Warranty,Purchaser shall immediately notify Scavenger 6 and cooperate in the investigation and resolution of the claim, including return of the firearm to Scavenger 6 (such return to be as directed by Scavenger 6, including any preferred method of shipping, with return shipping costs to be paid by Purchaser). If Scavenger 6 determines that the claim qualifies under Scavenger 6 Limited Warranty it will, at no charge, replace the firearm with the same model. If the same model is not available, Scavenger 6 will repair the firearm if the firearm can be repaired, as determined by Scavenger 6 in its sole discretion. If the no replacement is available and Scavenger 6 determines that the firearm cannot be repaired, Scavenger 6 will replace the nonperforming or defective firearm with a firearm that, in Scavenger sole determination, is substantially similar to the defective firearm.
b.THE REMEDIES SET FORTH IN THIS SECTION 7 SHALL BE PURCHASER'S SOLE AND EXCLUSIVE REMEDIES FROM SCAVENGER 6 FOR ANY NONCONFORMITY OR DEFECT IN ANY FIREARM PURCHASED FROM SCAVENGER 6 WHETHER BASED IN TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE, AND PURCHASER SHALL NOT BE ENTITLED TO CLAIM OR RECOVER FROM SCAVENGER 6 ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR DIMUNITION IN VALUE DUE TO REPAIR OR REPLACEMENT WITH A DIFFERENT FIREARM.
c.Notwithstanding the foregoing, as a condition of obtaining any remedy from Scavenger 6 upon a claim under the foregoing provisions, Purchaser shall be deemed to have assigned to Scavenger 6 any rights against the manufacturer pertaining to such claim and shall execute any written assignment of such rights as reasonably requested by Scavenger 6.TO AVOID VIOLATION OF STATE AND FEDERAL LAWS, PURCHASER SHOULD NOT SHIP THE FIREARM DIRECTLY TO SCAVENGER 6 BUT INSTEAD RETURN THE FIREARM TO THEIR FLL FOR RETURN SHIPMENT TO SCAVENGER 6.

11.Limited Warranty with Respect to Goods:

Other Goods. Except with respect to the Scavenger 6 Limited Warranty relating to firearms as described in Section 7 above, Purchaser's sole and exclusive warranty, if any, with respect to Goods sold by Scavenger 6, is the warranty provided by the manufacturer(s) of such Goods. SCAVENGER 6 MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES WITH RESPECT TO SUCH GOODS, INCLUDING ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability.

SCAVENGER 6 SHALL NOT BE LIABLE FOR DAMAGES CAUSED BY DELAY IN PERFORMANCE, REGARDLESS OF THE FORM OF THE CLAIM OR CAUSE OF ACTION (WHETHER BASED IN CONTRACT, INFRINGEMENT, NEGLIGENCE, STRICT LIABILITY, OTHER TORT, OR OTHERWISE), AND IN NO EVENT SHALL SCAVENGER 6 LIABILITY TO PURCHASER EXCEED THE PRICE PAID BY PURCHASER FOR THE SPECIFIC GOODS OR PORTION OF THE GOODS PROVIDED BY SCAVENGER 6 GIVING RISE TO THE CLAIM OR CAUSE OF ACTION, AND PURCHASER SHALL INDEMNIFY SCAVENGER 6 FOR ANY DAMAGES IN EXCESS THEREOF. IN NO EVENT SHALL SCAVENGER 6 LIABILITY TO PURCHASER EXTEND TO INCLUDE DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ALL OF WHICH ARE WAIVED BY PURCHASER AS TO WHICH PURCHASER SHALL INDEMNIFY SCAVENGER 6 AND HOLD SCAVENGER 6 HARMLESS.

The term "consequential damages" as used in these Terms shall include, but not be limited to, fines, penalties, loss of anticipated profits, business interruption, loss of use of revenue, cost of capital, loss or damage to property or equipment, loss of reputation, diminution of value, or illness. Further, Purchaser shall defend, indemnify and hold harmless Scavenger 6 and its directors, officers, employees, shareholders, subsidiaries, affiliates and agents against any loss, damage, claim, suit, liability, judgment or expense (including, without limitation, attorneys' fees) arising out of or in connection with Purchaser's, or any other persons', use of Goods. It is further expected that all instructions and warnings supplied by Scavenger 6 will be passed on to those persons who use Goods. Purchaser hereby represents and warrants that Goods are to be used in their recommended applications and all warning labels shall be adhered to.

13.Contingencies.

Scavenger 6 shall not be held responsible for or be liable for any nonperformance or any default or delay in performance if caused, directly or indirectly, by acts of God, war, fire, the elements, riot, civil commotion, strikes, lock-outs, slowdowns, picketing or other labor controversies, accidents, delay or default of or failure by carriers, shortages of labor, delay in obtaining or inability to obtain materials, equipment or parts from regular sources, action, request or regulation of or by any government or governmental authority, failure of any party to perform any contract with Scavenger 6 , the performance of which is required for production of the Goods, or any other happening or contingency beyond Scavenger 6 reasonable control, or without Scavenger 6 fault, whether similar or dissimilar to the foregoing. Deliveries or other performance may be suspended for an appropriate period of time or canceled by Scavenger 6 upon notice to Purchaser in the event of the foregoing, but the balance of this Agreement shall otherwise remain unaffected.

If Scavenger 6 determines that its ability to supply the total demand for the Goods, or to obtain material used directly or indirectly in the manufacture of the Goods, is hindered, limited or made impracticable due to causes set forth herein, Scavenger 6 may allocate its available supply of the Goods or such material (without obligation to acquire other supplies of any such Goods or materials) among itself and its purchasers on such basis as Scavenger 6 determines to be equitable without liability for any failure of performance that may result therefrom.

14.Assignment.

Purchaser shall not assign its rights or delegate its duties hereunder or any interest herein without the prior written consent of Scavenger 6, and any such assignment, without such consent, shall be void.

15.Permits; Indemnification.

Purchaser shall at its own expense apply for and obtain any permits required for the use of Goods. Except as particularly specified and agreed upon in writing by Scavenger 6,Scavenger 6 makes no covenant, warranty or representation that Goods will conform to any federal, state or local laws, ordinances, regulations, codes or standards. Scavenger 6 shall not be responsible for any losses or damages sustained by any party as a result of improper installation, use or storage of Goods. Purchaser shall defend, indemnify and hold harmless Scavenger 6 and its directors, officers, employees, shareholders, subsidiaries, affiliates and agents against any loss, damage, claim, suit, liability, judgment or expense (including, without limitation, attorneys' fees) arising out of or in connection with any injury to, damage to, death to or loss of any persons or property, or violation of any applicable laws or regulations resulting from or in connection with the sale, transportation, installation, use, or repair of Goods by Purchaser, including without limitation, any state and federal laws related to the sale and use of firearms. This Section 12 shall survive the termination of this Agreement.

16.Electronic Communications.

Purchaser acknowledges that when Purchaser or its representatives use Scavenger 6 Online or send e-mails, text messages, and other communications to Scavenger 6,Purchaser is communicating with Scavenger 6 electronically. Purchaser consents to receive communications from Scavenger 6 electronically. Purchaser agrees that all agreements, notices, disclosures, and other communications that Scavenger 6 provides to Purchaser or its representatives electronically, satisfy any legal requirement that such communications be in writing.

17.Account Information.

Purchaser shall be responsible for maintaining the confidentiality of information relating to Purchaser's account and password, and Purchaser agrees to accept responsibility for all activities that occur under Purchaser's account or password. Scavenger 6 reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

18.U.S. Export Control Regulations.

Purchaser hereby agrees to comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities that may apply, and Purchaser may not re-sell or divert any Goods contrary to such laws.

19.Severability.

If any provision of these Terms or the Agreement is held to be invalid or unenforceable, all other provisions shall nevertheless continue in full force and effect.

20.Governing Law.

These Terms, the Agreement and all sales of Goods by Scavenger 6 toPurchaser shall be governed and construed in accordance with the laws of the State of Arizona, without regard to principles of conflicts of law. Scavenger 6 andPurchaser consent to the personal jurisdiction of the state and federal courts located in Maricopa County, Arizona for adjudication of any claim or dispute related to these terms or to firearms or other Goods sold by Scavenger 6 toPurchaser. The parties further agree that the state or federal courts in Maricopa County, Arizona will be the exclusive venue for adjudication of any such claim or dispute. If either party institutes legal proceedings against the other, the prevailing party shall be entitled to recover its costs and expenses incurred in such proceedings, including reasonable attorneys' fees, from the other party.

21.Modifications of these Terms and the Agreement.

Scavenger 6 reserves the right, at any time and for any reason in its sole discretion, to change, modify, or amend these Terms and the Agreement. Any such change, modification or amendment will be posted on Scavenger 6 Online, and will specify its effective date. Therefore, Purchaser should review these Terms before purchasing any Goods. Purchaser's purchase of Goods after these Terms are changed, modified or amended by Scavenger 6 will signify Purchaser's agreement to be bound by such new Terms.

22.Miscellaneous.

All rights and remedies of Scavenger 6 in these Terms are in addition to, and not lieu of, any rights or remedies that Scavenger 6 may have at law or in equity. These Terms and the Agreement supersede all other communications, negotiations and prior oral or written statements regarding the subject matter of these Terms. No change, modification, rescission, discharge, abandonment, or waiver of these Terms shall be binding upon Scavenger 6 unless made in writing and signed on its behalf by its duly authorized representative. No conditions, usage or trade, course of dealing or performance, understanding, or agreement purporting to modify, vary, explain, or supplement these Terms shall be binding unless hereafter made in writing and signed by Scavenger 6. No modification shall be affected by Scavenger 6 receipt or acceptance of Purchaser's purchase orders, shipping instruction forms, or other documentation containing terms at variance with or in addition to these Terms, all of which are objected to by Scavenger 6. All typographical or clerical errors made by Scavenger 6 in any quotation, acknowledgment or publication are subject to correction. These Terms shall not be construed against the party preparing them, but shall be construed as if all parties jointly prepared these terms and any uncertainty or ambiguity shall not be interpreted against any one party.
